Welcome to GoPosly. By accessing or using our platform, website, or any of our services, you agree to be bound by these Terms of Service. Please read them carefully before you begin.

1. Acceptance and Eligibility

  • By creating an account or using the service, you confirm that you represent a business or legal entity and have the legal authority to enter into a binding agreement.
  • You must be at least 18 years of age to use this service.
  • If you are using the service on behalf of an organisation, you warrant that you have authority to bind that organisation to these Terms.

2. Description of Service

GoPosly is a cloud-based business management platform that enables companies to manage inventory, sales, invoicing, point of sale, purchasing, and reporting from one unified system. Features and available services may change over time, and we will notify you of any material changes.

3. Account Registration

  • You are responsible for maintaining the confidentiality of your login credentials.
  • You must provide accurate, complete, and current information when registering.
  • You are responsible for all activities that occur under your account.
  • Do not share login credentials or permit others to access your account without authorisation.
  • Notify us immediately at [email protected] if you suspect unauthorised access to your account.

4. Subscriptions and Payment

  • We offer monthly and annual subscription plans at the prices listed on our Pricing page.
  • Subscriptions renew automatically at the end of each billing period unless cancelled before renewal.
  • Payments are processed by a PCI-compliant third-party payment processor — we do not store your card details directly.
  • All prices are in USD unless otherwise stated and exclude applicable taxes in your jurisdiction.
  • All payments are final and non-refundable except as expressly provided in our refund policy or as required by law.

5. Free Trial

  • Certain paid plans include a 14-day free trial with no credit card required.
  • At the end of the trial period, you will need to select a paid plan to retain access to advanced features.
  • We reserve the right to modify or discontinue free trial offers at any time.

6. Cancellation and Refunds

  • You may cancel your subscription at any time from your account settings.
  • Cancellation takes effect at the end of your current billing period — you will not be charged for the next period.
  • We do not provide refunds for completed billing periods except in exceptional circumstances as outlined in our refund policy or as required by applicable law.
  • Upon account deletion, your data will be available for export for 90 days, after which it will be permanently deleted.

7. Acceptable Use

You may not use the service to:

  • Engage in any activity that violates applicable laws or regulations
  • Post or transmit harmful, abusive, or fraudulent content
  • Attempt unauthorised access to our systems, networks, or data
  • Send unsolicited communications or engage in network intrusion
  • Infringe the intellectual property rights of any third party
  • Resell or sublicense the service without our prior written consent

8. Intellectual Property

  • GoPosly, its platform, code, design, logos, and trademarks are the exclusive property of GoPosly.
  • We grant you a limited, non-exclusive, non-transferable licence to use the service in accordance with these Terms.
  • Your business data belongs entirely to you — we make no claim of ownership over it.
  • By uploading content to the platform, you grant us a licence to use it solely as necessary to deliver the service.

9. Privacy and Data

Your use of the service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

10. Service Availability

  • We aim to maintain 99.9% monthly platform uptime.
  • Scheduled maintenance will be announced in advance where practicable.
  • We are not liable for downtime caused by force majeure, third-party service failures, or factors outside our reasonable control.

11. Disclaimer of Warranties

The service is provided "as is" and "as available" without any express or implied warranties. We do not warrant that the service will be error-free, uninterrupted, or fit for any particular purpose.

12. Limitation of Liability

To the maximum extent permitted by law, our total liability to you in connection with the service will not exceed the fees you paid to us in the three months preceding the incident giving rise to the claim. We are not liable for indirect, consequential, incidental, or punitive damages, or for loss of profits or data.

13. Indemnification

You agree to indemnify and hold harmless GoPosly, its officers, employees, and partners from any claims, losses, or damages arising from: your breach of these Terms, your use of the service, or your infringement of any third-party rights.

14. Termination

  • You may terminate your account at any time.
  • We may suspend or terminate your account for breach of these Terms, with notice where practicable.
  • In cases of serious violation or illegal activity, we may terminate immediately.

15. Governing Law

These Terms are governed by the laws applicable in GoPosly's country of incorporation. Any disputes will be resolved through binding arbitration or competent courts as required by applicable law.

16. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes at least 30 days before they take effect via email or a notice on the platform. Continued use of the service after the update constitutes acceptance of the revised Terms.
